District 42
Standing Rules
As amended at the 8th District 42 Conference in Aruba 2008.
All regulations concerning districts in the Bylaws, Rules of Procedure and Charter of Quota International, Inc., shall be a part of the Rules of this District.
STATUS OF THE DISTRICT AS A PART OF QUOTA
INTERNATIONAL, INC.

The purpose of this District is to further the work of Quota International, Inc.

Boundaries for this District are established by the Board of Directors of Quota International, Inc. [QI Bylaws art. VI section 3 and Rules of Procedure rule 12] |
RULE I
DISTRICT OFFICERS
District Officers
| A. |
Officers Named [QI Bylaws art. XV section 1A] |
| |
The officers of the district shall be a governor, lieutenant governor and a secretary-treasurer. The governor and lieutenant governor shall be elected at a district conference for a term of one year each or until their successors are elected; neither shall be eligible to serve more than two consecutive terms, and they shall not be members of the same club. They shall assume office upon adjournment of the conference at which they are elected. They can be removed from office only with the consent of a majority of the clubs in the district. The secretary-treasurer shall be appointed by the governor. If the secretary-treasurer is unable to perform the duties, the governor shall appoint another secretary-treasurer to serve the unexpired term of office. No president of an individual Quota club shall be eligible for election to office as governor or lieutenant governor of a district while serving as president of the club. |

Eligibility [QI Bylaws art. XV section 1B] |

| 1. |
To be eligible to serve as a governor or lieutenant governor, a member must be an active member and a past president of a Quota club, whose attendance and dues are in good standing. |
| 2. |
To serve as a secretary-treasurer, a member must be an Active Member whose attendance and/or dues have not been waived. |
| 3. |
A club that is not in a good standing for failure to pay club, district and/or international dues, is prohibited from nominating members for district and/or international office. |
| 4. |
In the event the club to which a district officer belongs is not in a good standing for failure to pay club, district, and/or international dues, that officer would be prohibited from presiding at all meetings, including leadership training seminar and district conference, and from voting at district conference and the international convention. |

| C. |
Nominations and Elections [QI Bylaws art. XV section 1C] |

| 1. |
Any club may nominate one of its own members who meets the eligibility
requirements for a district office. |
| a. |
The nomination for district office shall take place according to a rotating system. |
| b. |
The rotating system for the organization of the annual district conference as well as for the nomination of district officers shall be as follows: |

| c. |
New clubs in the district shall be placed on the list of the rotating system as mentioned in Rule I, section C, 1.b., right above the club which will host the first coming district conference after the date of charter. |
| d. |
Nomination of the candidate for lieutenant district governor who shall be the candidate for district governor in the year thereafter shall be done according to the rotating system in Rule I, section C, 1.b.
The club in turn to nominate the lieutenant district governor and the district governor has the right of refusal, for a maximum period of one year. The club shall give written notice to the sitting District Board at least sixteen months prior to the conference month, with founded reasons. The next club in the rotating system shall then be in turn to nominate the candidate for lieutenant district governor and the candidate for district governor in the year thereafter.
Clubs may decide to exchange their nomination turn with each other.

District conferences shall be hosted by the clubs according to the rotating system in Rule I, section C, 1.b.
The club in turn to organize the conference has the right of refusal, for a maximum period of one year. The club shall give written notice to the sitting District Board at least sixteen months prior to the conference month, with founded reasons. The next club in the rotating system shall then in turn be requested to organize the next district conference. Approval to organize the conference must be given within one month after receiving notice of the request.
Clubs may decide to exchange their hosting turn with each other. |
| f. |
In the event that a club is unable to nominate a member candidate according to the rotating system, that club shall give notice to the governor and to the nominating committee at least three months prior to the conference. |
| 2. |
At conference a plurality vote by ballot shall elect the district officers. |
| 3. |
Any club wishing to propose the name of a member of any other club for district office shall obtain the written endorsement of the club to which the member belongs. |

| D. |
Duties [QI Bylaws art. XV section 1D] |
| |
| 1. |
The Governor Shall |
| |
| a. |
Preside at all conferences and meetings of the district; |
| b. |
Call a special meeting of the district upon the written request of at least three clubs; |
| c. |
Perform such duties as are prescribed by the Bylaws or by the board of directors of Quota International; |
| d. |
Attend the Quota International convention as the offical representative of the district and the meeting of district governors and international board of directors at the convention; |
| e. |
Attend the governors seminar when called by the president of Quota International. |
| f. |
Attend at least one business meeting with each club in the district, or request that the lieutenant governor perform this duty; |
| g. |
At district conference, appoint one member of a nominating committee; two additional members shall be elected at the conference. Said committee of three, no two of them shall be from the same club, shall serve until the next district conference and shall receive from the clubs in the district nominations for governor and lieutenant governor and shall present a report at the district conference; and |
| h. |
Transmit at the conclusion of the term all property and monies of the district to the newly elected governor not later than thirty days after the close of the conference. |

| 2. |
The Lieutenant Governor shall: |
| |
| a. |
Act in the absence or inability to serve of the governor; |
| b. |
Become governor in the event of a vacancy in the office of governor; and |
| c. |
Perform the duties of this office as they may devolve or be assigned by the Governor or the board of directors of Quota International. |

| 3. |
The Secretary-Treasurer shall: |
| |
| a. |
Keep the records; and |
| b. |
Receive and disburse all funds of the district. |

| E. |
Report of District Officers [QI Rules of Procedure rule 38] |
| |
Within sixty days after the close of the district conference, the retiring governor, lieutenant governor, and secretary-treasurer shall make a report in writing, signed by each of them, of the proceedings of the conference, transmitting copies to the president, the executive director, the area director, and each club of the district. |
| F. |
Vacancies in District Offices [QI Bylaws art. XV section 1E] |

| 1. |
In the event of a vacancy in the office of the governor, the lieutenant governor shall become the governor, and the international president shall appoint a lieutenant governor. If the lieutenant governor is unable to fill said vacancy, the international president shall appoint both the governor and lieutenant governor. |
| 2. |
In the event of a vacancy in the office of lieutenant governor, the international president shall appoint a lieutenant governor. |
| 3. |
A person serving six months to fill a vacancy shall be deemed to have served a full term. |

RULE II
DISTRICT CONFERENCE AND MEETINGS
District Conference and Meetings
| A. |
Meetings Held [QI Bylaws art. XV section 2A] |
| |
The Annual Conference shall be held annually, the exact date to be determined at the preceding District Conference. The Quota training seminar of the clubs in the district shall be held at such time and place as may be determined by the district. Other district meetings may be held. If business is to be transacted at any meeting other than the annual conference, notice to the clubs must be sent at least thirty days prior to the meeting. |
| B. |
Voting Body |
| |
The voting body of the district conference shall be the governor, lieutenant governor, and secretary-treasurer, any officers and past presidents of Quota International residing within the district, and no more than two delegates from each club in good standing as of its January membership report to Quota International. |
| C. |
Quorum |
| |
The quorum for the district conference shall be a majority of the clubs in the district. |
RULE III
DISTRICT FINANCING
Finances
| A. |
District dues |
| |
During the annual district conference, the District members shall approve the District program and required budget for the ensuing year.
Based on mentioned district program and required budget each club and branch member shall pay an equitable share of the budget to a maximum of $ 25.00 per annum. This maximum amount of $ 25.00 shall remain unchanged until changed at a future conference.
The total amount of District dues shall be paid by the clubs to the District Board, no later than on June 30th of each year, based on the total of members from each club and its related branches, per the 1st of May of the same calendar year. The secretary-treasurer shall submit the corresponding invoice of the annual District dues to the clubs no later than June 1 of the same calendar year. |
| B. |
Budget |
| |
The district Budget Committee shall prepare and present for approval at the Annual Conference the District Operating Budget for the ensuing year.
The Conference Budget shall be kept separate from the District Operating Budget. |
| C. |
South Area contribution |
| |
Before the month of May the clubs in the district shall pay US$ 1.— (one US dollar) per member per year as a contribution to the South Area, based on the number of members on January 1 of that same calendar year. |
| D. |
New club organizer |
| |
An amount of US$ 100.-- (one hundred US$) shall be donated by the district to the organizer of a new club within the district, no later than one month after the charter date of the new club. |
RULE IV
DISTRICT COMMITTEES

The Governor shall appoint all committee chairmen. |

RULE V
FISCAL YEAR
Fiscal Year [QI Bylaws art. XV section 4]

The fiscal year of the district shall conform to the term of the governor. |
RULE VI
STANDING RULES
Standing Rules [QI Bylaws art. XV section 5]
| A. |
The standing rules of the district may not be in conflict with the bylaws of Quota International to assist in carrying out district work. |
| B. |
In the event of a country, state, province or any other such governmental body in the district conflicts with these standing rules, the district shall be bound by the law of its jurisdiction. |
| C. |
Amendments to the Standing Rules may be proposed by a club in the district and sent in writing to the Governor no later than 3 months prior to the District Conference. Amendments may be proposed by the district board no later than 2 months prior to the District Conference. |
| D. |
District Standing Rules may be adopted, amended or repealed by the voting body of the district conference by a majority vote. District Standing Rules remain in effect until they are amended or repealed. |
